Terms & Conditions

These Terms & Conditions (“Terms”) govern your access to and use of the VeriHuman AI platform (“VeriHuman”, the “Service”, “we”, “us”, “our”), provided by VeriHuman Limited, incorporated in Kenya. By accessing or using the Service, you agree to be bound by these Terms.

1. Agreement & acceptance

By accessing, browsing, registering for, or using any part of the Service (including our website, web app, dashboards, extensions, APIs, and related services), you confirm that you have read, understood, and agree to these Terms. If you are using the Service on behalf of a company or other legal entity, you represent that you have authority to bind that entity, and “you” includes that entity.

If you do not agree to these Terms, do not use the Service. Certain features may also be subject to additional guidelines or product-specific terms that we will present to you (for example, API documentation, usage limits, or plan rules). Those additional terms form part of these Terms.

2. Who we are

The Service is operated by VeriHuman Limited (“VeriHuman”, “we”, “us”, “our”), a company incorporated under the laws of Kenya. Our Service helps users interact with AI tools, assess AI-likeness of text, and rewrite text to improve clarity, tone, and human readability (the “Humanizer” feature), along with an AI chat interface.

Important: Our detection results provide a likelihood or confidence signal. They are not proof that content is AI-generated or human-written. Outputs can be incorrect, incomplete, or misleading. You are responsible for how you use the Service and its results.

3. Eligibility & accounts

  • Age. You must be at least 18 years old to create an account. If you are under 18, you may use the Service only with the consent and supervision of a parent/guardian who agrees to these Terms.
  • Account information. You agree to provide accurate information and keep it updated. You are responsible for all activity under your account and for maintaining the security of your credentials.
  • Authorized use. You may not share accounts, resell access, or allow others to use your account except where your plan expressly permits team access or enterprise users.
  • Security. Notify us immediately if you suspect unauthorized access or misuse of your account.

4. The Service

VeriHuman provides AI-enabled tools, including:

  • Chat. A conversational interface that generates responses based on prompts and context you provide.
  • Detection. Tools that estimate the likelihood that a piece of text may have been generated or modified by AI.
  • Humanizer. Tools that rewrite or edit text for readability, tone, structure, and style.
  • APIs. Programmatic access to certain features subject to your plan limits, documentation, and fair-use controls.

We may add, change, or remove features at any time. Some features may require a paid subscription or usage-based billing. Use of the Service may be subject to rate limits, credit quotas, throttling, and other technical controls designed to protect the platform and all users.

5. Your content & outputs

5.1 Your content

“Content” means any text, prompts, files, links, or other materials you submit, upload, or transmit to the Service (“Input”), and any results generated by the Service (“Output”). You retain ownership of your Input.

You grant VeriHuman a limited, non-exclusive, worldwide license to host, process, transmit, and display your Input solely to provide, maintain, secure, and improve the Service, comply with law, and enforce these Terms. This license ends when your Input is deleted from our systems, except where retention is required by law, for security, backup, dispute resolution, or legitimate business purposes described in our Privacy Policy.

5.2 Outputs

Subject to these Terms and applicable law, you may use Outputs for your internal or external purposes. However:

  • Outputs may be inaccurate or incomplete and should be reviewed before use.
  • Detection scores are probabilistic signals and are not definitive.
  • You are responsible for verifying originality, correctness, and compliance with any policies (school, employer, publisher, platform rules) that apply to you.
  • You may not represent detection results as conclusive evidence unless you independently validate them.

5.3 Your responsibility for legality and rights

You confirm that you have all necessary rights to submit your Input and that your Input and your use of the Service do not violate any law, contract, or third-party rights (including intellectual property, confidentiality, privacy, or data protection laws).

6. Acceptable use

You agree not to use the Service in any way that is illegal, harmful, deceptive, abusive, or that interferes with others’ use of the Service. Without limiting the above, you must not:

  • Cheat or deceive. Use the Service to facilitate academic cheating, exam misconduct, plagiarism, or any activity intended to misrepresent authorship, originality, or compliance with institutional rules.
  • Bypass detection or enforcement. Use the Humanizer or any feature to intentionally bypass or defeat academic, employment, publishing, or platform integrity systems.
  • Illegal or harmful content. Generate or distribute content that promotes violence, self-harm, exploitation, harassment, hate, or illegal activities; or that is otherwise unlawful.
  • Malware, phishing, or fraud. Create, distribute, or assist with malware, phishing, scams, identity theft, or unauthorized access.
  • 侵犯 rights. Upload content that infringes copyrights, trademarks, or other rights, or violates confidentiality or privacy obligations.
  • Reverse engineering. Attempt to reverse engineer, decompile, scrape, probe, or extract models, prompts, weights, datasets, or security systems; or to circumvent rate limits or access controls.
  • Abusive automation. Use bots or automated systems to access the Service in a manner that exceeds reasonable request volumes, undermines stability, or violates your plan limits.
  • Resale. Sell, sublicense, rent, or provide the Service to third parties as a standalone service unless you have a written reseller/partner agreement with us.

We may investigate suspected violations and may suspend or terminate access, remove content, and/or cooperate with law enforcement where required.

7. Third-party services & APIs

The Service may rely on or integrate with third-party services, tools, models, APIs, payment processors, analytics providers, and hosting infrastructure (“Third-Party Services”). Third-Party Services may have their own terms and privacy policies, and your use of them may be subject to those terms.

  • Availability. We are not responsible for outages or failures caused by Third-Party Services.
  • Changes. Third-Party Services may change, deprecate, or restrict their APIs, which may affect our Service.
  • Third-party content. Links or integrations are provided for convenience and do not imply endorsement.

API use: If you use our APIs, you must comply with our documentation, authentication requirements, rate limits, security requirements, and any plan-specific quotas. You must keep API keys secret and rotate them if compromised.

8. Fees, billing & refunds

8.1 Paid plans

Some parts of the Service are offered on a subscription, usage-based, credit-based, or hybrid billing model. Pricing, plan limits, and included features are described on our pricing page or within your account dashboard and may change as described in Section 20.

8.2 Billing and renewals

  • Auto-renewal. Subscriptions renew automatically unless you cancel before the renewal date.
  • Usage and credits. Usage-based fees or credits may be consumed per request, token, document, or other unit as shown in your plan.
  • Taxes. Prices may exclude applicable taxes (including VAT) unless stated otherwise. You are responsible for any taxes required by your jurisdiction.
  • Payment processors. We use third-party payment processors. By paying, you agree to their terms as well.

8.3 Refunds and cancellations

Unless required by applicable law, payments are generally non-refundable. However, we may consider refunds or credits in limited cases, such as duplicate charges, billing errors, or material service failure not caused by misuse or Third-Party Services, at our reasonable discretion. If you cancel, you will typically retain access until the end of your current billing period. We do not provide refunds for unused time, unused credits, or partial billing periods unless required by law.

8.4 Failed payments

If payment fails or becomes overdue, we may suspend or restrict access to paid features until payment is received. You remain responsible for all charges incurred up to suspension or termination.

9. Availability & changes

We aim to provide a reliable Service, but we do not guarantee uninterrupted availability. We may perform maintenance, updates, or emergency work that could temporarily reduce availability. We may also modify the Service to improve performance, security, or compliance.

We may impose reasonable limits (such as rate limits or quotas) to prevent abuse, manage capacity, and protect users and infrastructure.

10. Confidentiality & security

You are responsible for protecting confidential or sensitive information you choose to submit to the Service. Do not submit information you do not have the right to share.

We use commercially reasonable measures to help protect the Service. However, no method of transmission or storage is perfectly secure, and we cannot guarantee absolute security. You agree to use strong passwords, keep API keys secret, and notify us promptly if you suspect a breach.

11. Intellectual property

The Service, including its software, user interface, designs, trademarks, logos, documentation, and underlying technology, is owned by or licensed to VeriHuman and is protected by intellectual property laws. Except for the limited rights expressly granted to you, we reserve all rights in the Service.

  • You may not copy, modify, distribute, sell, or lease any part of the Service unless we give you written permission.
  • You may not use our branding (including “VeriHuman”) without prior written consent, except as allowed for factual reference.

12. Feedback

If you provide suggestions, feedback, or ideas about the Service, you grant us a non-exclusive, worldwide, perpetual, irrevocable, royalty-free right to use and incorporate them into the Service without compensation to you. This helps us improve and maintain the platform.

13. Disclaimers

The Service is provided on an “as is” and “as available” basis. To the maximum extent permitted by applicable law, VeriHuman disclaims all warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy.

  • No guarantee of accuracy. AI outputs, detection results, and rewrites may be wrong, incomplete, outdated, or misleading.
  • No guarantee of acceptance. We do not guarantee that outputs will pass third-party detectors, satisfy policies, or achieve specific scores.
  • Professional advice. The Service does not provide legal, medical, financial, or professional advice. Seek qualified advice where needed.

14. Limitation of liability

To the maximum extent permitted by applicable law, VeriHuman and its directors, employees, partners, suppliers, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, goodwill, or business opportunities arising from or related to your use of (or inability to use) the Service.

To the maximum extent permitted by applicable law, VeriHuman’s total cumulative liability for any claims arising out of or related to the Service will not exceed the greater of: (a) the total amount you paid to VeriHuman for the Service in the three (3) months immediately preceding the event giving rise to the claim, or (b) USD 50 (or the equivalent in local currency), whichever is higher.

Some jurisdictions do not allow certain limitations of liability. In such cases, our liability will be limited to the maximum extent permitted by law.

15. Indemnity

You agree to defend, indemnify, and hold harmless VeriHuman and its directors, employees, affiliates, and partners from and against any claims, damages, liabilities, losses, and expenses (including reasonable legal fees) arising from or related to: (a) your Input; (b) your use of Outputs; (c) your violation of these Terms; or (d) your violation of any law or third-party rights.

16. Termination

You may stop using the Service at any time. We may suspend or terminate your access (in whole or in part) immediately if we reasonably believe: (a) you have violated these Terms; (b) your use creates risk or legal exposure for us or others; (c) we are required to do so by law; or (d) you fail to pay fees when due.

Upon termination, your right to use the Service will stop. Sections that by their nature should survive termination will survive, including: intellectual property, disclaimers, limitation of liability, indemnity, dispute resolution, and other provisions intended to survive.

17. Privacy & data protection

We respect privacy and handle personal data in accordance with applicable data protection laws, including Kenya’s Data Protection Act, 2019 where applicable. Our data practices are described in our Privacy Policy, which forms part of these Terms.

  • Data processing. We process Inputs and account data to provide the Service, secure the platform, prevent abuse, and improve functionality.
  • Security. We use reasonable safeguards, but no system is completely secure.
  • Cross-border transfers. Where data is transferred across borders, we take reasonable steps to protect it using appropriate safeguards as required by applicable law.
  • Your rights. Depending on your jurisdiction, you may have rights to access, correct, delete, or object to certain processing.

18. International use

The Service is offered globally. You are responsible for ensuring that your use of the Service is lawful in your location. We may restrict availability of the Service in certain countries or regions, or to certain users, if required for legal, compliance, or risk reasons.

19. Disputes, governing law, and jurisdiction

These Terms are governed by the laws of Kenya, without regard to conflict of law principles. Where permitted by law, any dispute arising out of or relating to these Terms or the Service shall be brought in the courts of Kenya, and you consent to the personal jurisdiction of such courts.

Before filing a formal claim, you agree to contact us first and attempt to resolve the dispute informally. You can reach us at support@verihumanai.com.

If you are a consumer and your local law requires a different mandatory forum or rights that cannot be waived, those rights will apply.

20. Changes to these Terms

We may update these Terms from time to time to reflect changes to the Service, business practices, law, or security needs. When we make changes, we will update the “Last updated” date at the top of this page. If changes are material, we will take reasonable steps to provide notice, such as posting a notice on the website or in your account dashboard.

Your continued use of the Service after the updated Terms take effect means you accept the changes. If you do not agree, you must stop using the Service and cancel any subscriptions.
